If the shares are in your name and you have a demat account, go to their office(where you have the demat account) and get forms for transferring the shares in your demat account.
Once the shares are transferred in your demat account you can easily transfer them to anyone else's demat account or even sell them.
If you do not have any demat account first open an account.

1) Open a DMAT acct on the name of person who has physical shares.
2) Fill up the dematerialisation request and submit it to your DMAT provider (broker or Bank). In this request u need to give the details of physical shares and your new DMAT acct.
3) Get acknowledgement from Broker/bank. Keep a photocopy of physical shares with you.

At this stage, they will send the request to Registrar of company whose shares u have. Registrar will update their records and transfer these stocks in DMAT form.
In next few days, u shd be able to see these shares in your DMAT account.

Now u can transfer them to your wife's name - provided she also has DMAT. It can be done by giving OFF-Market share transfer request to your DMAT provider.

To reduce this hassel, if possible go ahead and sell the physcial shares and buy new one directly in your /your wife's dmat account. Check with your broker, sometime, they ask extra commision for handling physcial delivery.

Hope I am not wrong in this explanation. I have tried to recall this from my previous experience when DMAT was just introduced.

All the best.
