Lets say a company has signed a deal ( this is only mentioned in the ANNUAL REPORT) but doesn't give details like what and how it is . Actually its price of metals , hence the company has entered contract with another company . So we need to if it flat long term contract etc . Does the Investor have rights to these information ?

Hi all ,

I today contacted the secretary of a company and they informed that this is not the way to ask about the company . He told whatever information needed is filed with BSE you can check there . So what is your view on this ?
I asked mainly about some deals and also the co has made some investments into another entity which is being newly formed . What are the requirements of this "new entity" ? Isn't the shareholders eligible for asking the Annual Report of the new entity .

shareholders do not run the company. Shareholders are only provided the details which are essential as per the Companies Act. These details pertains to strategic decisions like changing the line of business not stated in MOA/AOA. Infact, for all the routine transactions stated in MOA/AOA, disclosure to shareholders is not essential as this is in the general interest of the Company.

Shareholders are not given sensitive information. It lies with important company personnel and promoters only.
If such information was to be given to all shareholders, anyone from rival company can buy a few shares of company and get all info.
