(Urgent) What happens to stock when companies get marged ? Please help.

Dear form members and experts,

Please read this post in its entirety and answers my questions which are very urgent for me - the post is about a merger. And please also accept my apology for a bit lengthy post.

I have just come to know that the company Compulink System has been merged with the company Glodyne Technoserve in April 2009. I neither knew nor I have prior information regarding this merger. I'll give all the links of all the relevant parties at the end of this post, please do go through it, but first listen and understand my case in totality.

My father have 600 shares of Compulink System. He bought it through IPO 4-5 years back at Rs 60 and later at between rupees 60-80 during the boom period of 2004-07. He doesn’t remember how much money he had exactly invested in it and at what price but the current value of this stock in his portfolio is approx 25000 Rs.

He stopped getting involved in the market after he lost hefty sum of money in 2006 and 2007. He now tracks the market occasionally and that too through TV.

He is holding stocks in his portfolio in the hope that one day it'll turn profitable and his losses would be recovered. Some of them have recovered in fact.

Today he asked me(son) to check the status of his stocks. I was analyzing his stocks as I'm also in the market and has made good money without loosing much money. While analyzing and Googling the information about his stocks I reached to the website of Compulink where to my surprise I found that the company has been merged with Glodyne Technoserve in April 2009 and we have no information about it! See the compressed links below.

This brings me to the purpose of this post: merger. Despite being in the market I know very little about mergers as it's very confusing. So I plead the forum members to go through these links and answer my queries if they happen to know the answers.

1) What happens when company gets merged ? Is there any value left in Compulink after the merger ?

2.) Has it become a 'shell' company ? Is the merger harmful for the investor of Compulink ?

3) Do my father get any benefit, if any, from the merger ?

4.) What merger means to me ? Tell any view you have regarding this.

If COMPULINK Got Merged With GLODYNE....Then Your Demat Account Should Reflect GLODYNE Shares Instead Of COMPULINK....

Now To The Question Of What Was The Swap Ratio For The Merger...I Have No Idea....You Will Need To Do Some Searching On Your Own....

I think merger is not done yet and matter is pending in the court: News from Moneycontrol board. "both the boards and shareholders have approved the merger, Its just the matter pending in court which is expected any time soon. That is why there is a price discount.

The day the court approves (and will approve) this merger, the stock will be at par with Glodyne...."

Technology management services company Glodyne Technoserve will merge Pune-based project management software services firm Compulink Services with it. The merger is expected to help Glodyne to leverage on Compulink's strong intellectual property rights and client relationships.

The merger would be through a scheme of amalgamation and the appointed date of the scheme will be April 1, 2009.

The share swap ratio would be 1 share of Rs 10 each fully paid up of Glodyne Technoserve for every 19 equity shares of Rs 10 each fully paid up held in Compulink Systems.
